Terms & Conditions
1. General
The following General Terms and Conditions (GTC) apply to all sales, deliveries and offers made by Delipet AG, unless otherwise expressly agreed in writing. By placing an order, the buyer accepts these conditions. Any terms and conditions of the buyer that differ from these GTC shall not apply.
2. Conclusion of Contract
The contract shall be deemed concluded when Delipet AG accepts or confirms an order submitted verbally, in writing or electronically without reservation. Orders are only confirmed by Delipet AG upon request.
3. Prices
Prices are quoted net/net in CHF/EUR, excluding VAT. Delipet AG reserves the right to adjust prices at any time. Unless otherwise agreed, prices are FCA.
4. Terms of Payment
Payment is due within 14 days net from the invoice date. Unauthorized deductions will be charged subsequently. Delipet AG charges interest on overdue payments at a rate of 8% per annum from the due date. The consequences of default are governed by Articles 102 et seq. of the Swiss Code of Obligations. From the third reminder onwards, Delipet AG charges a reminder fee of CHF 20. Delipet AG reserves the right to cancel further deliveries or already confirmed orders if the customer has outstanding invoices.
New customers must pay for their first deliveries in advance. Delipet AG also reserves the right to require advance payment from existing customers.
5. Non-Binding Nature of Offers
Offers made by Delipet AG are non-binding. Prior sale remains reserved. Delipet AG reserves the right to modify its product range at any time without prior notice, except in the case of customer-specific recipes.
6. Orders
Separate minimum order values apply to the standard and frozen product ranges.
The minimum order value is:
CHF/EUR 500.00 per product range for deliveries to Switzerland, Germany and Austria
EUR 2,000.00 for deliveries to other EU countries
EUR 5,000.00 for deliveries to all other countries
For logistical reasons, the frozen product range can only be delivered within Switzerland.
7. Delivery
Risk and benefit of the goods pass to the customer upon delivery. Second delivery attempts (e.g. due to customer absence) will be charged to the customer.
Switzerland / Germany / Austria
Orders above CHF/EUR 300.00: carriage paid
Orders below CHF/EUR 300.00: shipping costs charged according to effort
Delivery times are agreed individually and are generally within 5 working days.
Other Countries
By agreement.
Customs Costs
Customs duties and related charges shall be borne by the buyer.
8. Shipping
Delipet AG follows the Incoterms® 2010 rules. Shipping terms form an integral part of the offer. If no specific agreement is made, FCA applies.
9. Returns
Returns must be agreed with Delipet AG in advance; otherwise, they will not be accepted. Goods that have exceeded their best-before date cannot be returned.
Goods may only be returned with the prior approval of Delipet AG. Only complete packaging units that are unopened, unused and clean will be accepted. Return transport costs shall be borne by the customer. Frozen products cannot be returned.
If the return is due to an error acknowledged in writing by Delipet AG, the costs will be borne by Delipet AG. Products manufactured according to customer specifications cannot be returned.
Euro pallets must be exchanged upon delivery. If no pallets are returned at the time of delivery, the pallets will be invoiced.
10. Complaints and Defects
If the goods do not conform to the contract, the customer must inform Delipet AG within one working day after receipt of the goods. Complaints must include the product concerned, the production code and meaningful photographs.
Delipet AG may, at its discretion, grant a price reduction corresponding to the reduced value of the goods instead of repairing defects or providing replacement goods.
For unpackaged goods that are not airtight, no warranty against pest infestation is provided more than 24 hours after receipt of the goods.
11. Data Protection
Delipet AG is entitled to process and store all customer-related data required for its business purposes. Applicable data protection regulations will be observed.
Personal customer data will not be disclosed to third parties, except where necessary for the processing and delivery of orders (e.g. delivery information provided to postal or logistics services).
12. Force Majeure
If Delipet AG is prevented from fulfilling its obligations due to force majeure, including but not limited to war, civil unrest, natural disasters, accidents, labour disputes, governmental measures, operational disruptions or delays in the supply of essential raw materials, ingredients or semi-finished products, delivery deadlines shall be extended by the duration of the disruption and a reasonable restart period.
If performance becomes impossible or unreasonable, Delipet AG may withdraw from the contract. The customer shall have the same right if acceptance of the goods becomes unreasonable due to the delay.
13. Applicable Law
Swiss law shall apply exclusively to all contractual relationships.
14. Retention of Title / Place of Jurisdiction
Delivered goods remain the property of Delipet AG until full payment has been received.
The place of performance for all obligations arising from contracts concluded with Delipet AG and the exclusive place of jurisdiction shall be the Civil Court of Basel-Landschaft East, Sissach, Switzerland.
15. Validity
These General Terms and Conditions are binding on both parties. In case of discrepancies, the German version shall prevail.
